1. Acceptance of Terms
By accessing or using the UnifyCart platform ("Service") operated by Unify Cart, LLC ("UnifyCart," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
UnifyCart is a multi-tenant software-as-a-service (SaaS) ecommerce platform that enables users to create, manage, and operate online stores. The Service includes store hosting, payment processing integrations, themes, apps, and related tools.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to enter into these Terms.
4. Subscription Plans & Billing
UnifyCart offers various subscription plans with different features and pricing. By selecting a plan, you agree to:
- Pay the applicable subscription fees on a recurring basis (monthly or annually)
- Provide valid payment information
- Authorize us to charge your payment method for recurring fees
Subscription fees are billed in advance. Prices may change with 30 days' notice. Changes will apply at the start of your next billing cycle.
Free Trials
We may offer free trial periods. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. You will not be charged during the trial period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Sell illegal, counterfeit, or prohibited products
- Infringe on the intellectual property rights of others
- Distribute malware, spam, or harmful content
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service or its infrastructure
- Engage in fraudulent transactions or deceptive practices
- Resell or redistribute the Service without authorization
We reserve the right to suspend or terminate accounts that violate these terms.
6. Your Content
You retain ownership of all content you upload to the Service (product listings, images, descriptions, etc.). By uploading content, you grant UnifyCart a limited, non-exclusive license to host, display, and distribute your content solely for the purpose of providing the Service.
You are solely responsible for ensuring your content does not violate any laws or third-party rights. We may remove content that violates these Terms.
7. Payment Processing
UnifyCart integrates with third-party payment processors (Stripe, PayPal, and others). Your use of these processors is subject to their respective terms and policies. UnifyCart does not store full credit card numbers on our servers.
Platform transaction fees may apply depending on your subscription plan. These fees are deducted from each transaction processed through the platform.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy. Each store operates in an isolated database environment. You are responsible for complying with applicable data protection laws regarding your customers' data.
9. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Unify Cart, LLC and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of the Service.
Your store name, branding, and content remain your property.
10. Uptime & Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance, emergency fixes, and circumstances beyond our control may result in temporary downtime. We will provide advance notice of scheduled maintenance when possible.
11. Limitation of Liability
To the maximum extent permitted by law:
- UnifyCart is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
- We are not responsible for losses resulting from third-party services, payment processors, or shipping carriers
12. Indemnification
You agree to indemnify and hold harmless Unify Cart, LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your content, your customers' claims, or your violation of these Terms.
13. Cancellation & Termination
You may cancel your subscription at any time from your account dashboard. Upon cancellation:
- Your store will remain active until the end of your current billing period
- No further charges will be applied after cancellation
- You may export your data before your store is deactivated
- After 30 days of inactivity following cancellation, your store data may be permanently deleted
We may suspend or terminate your account immediately if you violate these Terms, with or without notice.
14. Refund Policy
We want you to be satisfied with UnifyCart. Our refund policy is as follows:
Subscription Fees
- Monthly plans: No refunds for partial months. You may cancel at any time, and your store will remain active until the end of the current billing period.
- Annual plans: If you cancel within the first 14 days of an annual subscription, you may request a full refund. After 14 days, annual subscriptions are non-refundable, but your store will remain active for the remainder of the paid term.
- Free trials: No charge is applied during the trial period. If you cancel before the trial ends, you will not be charged.
Platform Transaction Fees
Platform transaction fees are non-refundable. These fees are earned at the time of transaction processing.
App & Theme Purchases
Purchases of third-party apps and themes through the UnifyCart Marketplace are subject to the refund policy of the individual developer. For apps and themes sold directly by UnifyCart, refund requests may be submitted within 7 days of purchase if the product does not function as described.
How to Request a Refund
To request a refund, contact our support team at billing@unifycart.com or through the contact form. Include your account email and the reason for your request. Refunds are processed within 5-10 business days to the original payment method.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation. If a resolution cannot be reached, disputes will be subject to binding arbitration under the rules of the American Arbitration Association, conducted in the state of California.
16. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
